What happens to my team and my customers post-investment?

Our goal is to make majority investments in great businesses and to grow them. With that goal in mind, it’s essential that we retain your team, honor your culture, and continue providing exceptional service to your customers. What is the timeframe for Orion’s investments?

We invest heavily in the development of our people. For managers, our Leadership Development Program hones the leadership skills needed to level up in their careers. This four-month intensive program creates a community of leaders addressing similar challenges and growth opportunities. All employees also have access to monthly management workshops facilitated by subject matter experts throughout the Orion network. What does Orion’s deal structure look like?

Our partnership with Alpine Investors gives us the ability to do 100% cash upfront deals. That said, we are committed to solving for a structure that maximizes value for all parties and are open to a variety of different deal structures that include earnouts, seller notes and rollover equity.

How does Orion value businesses?

We take a holistic approach to valuing your business and encourage you to set up a call so we can learn more about your business and discuss how we would think about a valuation. To develop a valuation, we would want to learn about your business’ team, historical performance, reputation, and customer relationships.

What is the timeline of Orion’s investing process?

We understand you are busy running your business and want to make the process as painless as possible. We know what great looks like in our markets and are efficient and transparent at every step of the way.

Should we pursue a transaction, we will move at your pace. If speed is important, we can go from an intro phone call to get to know each other to a closed partnership in less than 90 days.

What does Orion’s investing process look like?

The first step would be an introductory call with us to learn more about each other and assess if there is a fit. Following that, we execute an NDA, review basic financial information, and visit your facility to get to the point of submitting an offer, which can happen as quickly as in a couple of weeks. Following a signed offer, we will complete due diligence within 60 days and close the investment.

Will my company be integrated with other businesses?

We believe in a decentralized operating model with independently run businesses and add-on acquisitions that take on different levels of integration depending on what makes sense for that particular business. We maintain the brands of the vast majority of our investments. As we get to know you and your business, we will be transparent about our go-forward operating plans.

How are Orion, Astra, SunWorks, and Leo FM related?

Orion is a holding company that has built Astra, SunWorks, and Leo FM, our industry verticals, by investing in leading field services businesses. Each of these verticals are a network of world-class service providers led by industry veterans and operational leaders.

How are Orion and Alpine Investors related?

Alpine Investors is a private equity fund with $17bn of assets under management. They’re Orion’s single largest investor and helped us launch our business in 2020.

Orion has the best of both worlds. We have industry expertise through our focus on field services and a large capital partner supporting our long-term growth through Alpine.
